1. Introduction
TokenPortal ("we," "us," "our") is operated by HIGH ORDER TECHNOLOGY PTE. LTD. ("Company"), registered in Singapore (UEN: 201808467N). These Terms of Service ("Terms") govern your access to and use of the TokenPortal website, APIs, services, and related software (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Eligibility
2.1 You represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. 2.2 You represent that your use of the Service does not violate any laws or regulations applicable to you, including those of the jurisdiction in which you reside or access the Service. 2.3 The Service is operated from Singapore. We make no representation that the Service or any content is appropriate, lawful, or available in all locations. Access is at your own initiative and you are responsible for compliance with all applicable local laws.
3. Account Registration
3.1 To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information at registration and to update it promptly to keep it accurate. 3.2 You are responsible for maintaining the confidentiality of your account credentials, including API Keys. You are responsible for all activity that occurs under your account. 3.3 We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in activity we reasonably believe is harmful to the Service or other users.
4. API Keys and Authentication
4.1 API Keys are for your personal or organizational use only. You may not share, sell, or transfer your API Key to third parties, except through authorized distribution channels provided by us. 4.2 You are solely responsible for all usage and charges incurred through your API Key, whether or not authorized by you. You must notify us immediately of any unauthorized use.
5. Acceptable Use
You agree not to, and not to allow others to: 5.1 Use the Service for any unlawful purpose or in violation of any applicable laws or regulations, including those relating to export controls, economic sanctions, data protection, and intellectual property. 5.2 Use the Service to generate, distribute, or transmit illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable content. 5.3 Use the Service in any manner that may interfere with, disrupt, or damage the Service or any third party's use of the Service. 5.4 Attempt to reverse engineer, decompile, or extract the source code of the Service, except to the extent expressly permitted by applicable law. 5.5 Use the Service in a manner that infringes the intellectual property rights or other rights of any third party. 5.6 Engage in any activity that circumvents our usage limits, pricing, or access controls.
6. Payments and Billing
6.1 Use of certain models and features requires payment at the rates set out on our pricing page. Unless otherwise stated, fees are denominated and payable in US Dollars (USD). 6.2 You authorize us to charge all fees incurred to your chosen payment method. You are responsible for any taxes, duties, or other governmental charges associated with your use of the Service. 6.3 Unless required by applicable law or expressly provided in our refund policy, all purchases are final and non-refundable. 6.4 We reserve the right to change pricing with reasonable notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
7. Intellectual Property
7.1 The Service, including its software, design, text, graphics, and all intellectual property, is owned by or licensed to the Company. 7.2 You retain all rights in content you input into the Service ("Input"). We do not claim ownership of your Input. 7.3 Content generated by the Service in response to your Input ("Output") belongs to you to the extent permitted by applicable law. You acknowledge that Output may not be unique and similar or identical Output may be generated for other users. 7.4 By using the Service, you grant us a limited license to use Input and Output solely as necessary to provide and improve the Service, including content safety monitoring as described in our Privacy Policy.
8. Third-Party Services
8.1 The Service integrates third-party model providers, payment processors, and content safety services. Your use of those third-party services is subject to their respective terms. 8.2 We are not responsible for the availability, accuracy, or content of any third-party service or provider.
9. Service Availability and Changes
9.1 We endeavor to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, upgrades, or emergency fixes. 9.2 We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.
10. Limitation of Liability
10.1 To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied. 10.2 We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any Output will be accurate, complete, or reliable. 10.3 To the fullest extent permitted by law, the Company and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to loss of profits, data, use, or goodwill. 10.4 Our aggregate liability for any claim arising from these Terms or the Service shall not exceed the greater of: (a) the amounts you paid us in the twelve (12) months preceding the claim, or (b) USD $100. 10.5 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
11. Indemnification
You agree to indemnify and hold harmless the Company from any claims, damages, liabilities, and expenses arising from: (a) your use of the Service; (b) your breach of these Terms; (c) your infringement of any third-party rights; or (d) your violation of any applicable law or regulation.
12. Suspension and Termination
12.1 We may suspend or terminate your access to the Service at any time for breach of these Terms or for other reasons we reasonably determine. 12.2 Upon termination, your right to use the Service immediately ceases. Unless required by applicable law, prepaid fees for unused service periods are non-refundable. 12.3 Provisions that by their nature should survive termination shall survive, including intellectual property, limitation of liability, and indemnification provisions.
13. Governing Law and Dispute Resolution
13.1 These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles. 13.2 Any dispute arising from these Terms shall first be resolved through good-faith negotiation. If unresolved within thirty (30) days, disputes shall be submitted to the exclusive jurisdiction of the courts of Singapore. 13.3 Nothing in these Terms prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction.
14. Changes to Terms
We may modify these Terms from time to time. We will post the updated Terms on our website and, where reasonably practicable, notify you by email of material changes. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. General
15.1 These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements. 15.2 If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect. 15.3 Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision. 15.4 You may not assign any rights under these Terms without our prior written consent. We may assign these Terms without restriction.
